Terms of Service

These terms are an agreement between you and LocalSEOAgent, Inc. ("LocalSEOAgent", "we", "us"), a Delaware corporation, for the use of Leo, our AI local SEO employee, our website, the interview and the dashboard (together, the "Service"). By interviewing Leo, creating an account or paying for the Service, you agree to these terms. If you accept them for a business, you confirm you are authorised to bind that business.
1. What Leo does
Leo audits and monitors your Google Business Profile and local search presence, and, with your approval, does work on it: posts, photos, review replies, review requests, profile edits, listings (citations) and reports. What each job involves is described on our website and in your dashboard, and may change as we improve the Service.
Leo is an AI. He works carefully and every sensitive action needs your OK, but he can make mistakes. Review what you approve.
2. The interview
The interview is free. Leo works on public information about your business, and nothing is published and nothing is charged during it.
3. Your account
You must be at least 18 and give us accurate information. The account admin can add a location manager for each location; a location manager can see their own location and approve day-to-day work for it within the plan the admin approved. You are responsible for everyone you give access to and for keeping your sign-in details safe.
4. Approvals
Leo does not publish, send or spend anything on your behalf without an approval from you or someone you have authorised. Approving a monthly plan approves the work in that plan. An approval given in the dashboard, by email or in a connected chat app counts the same.
5. Prices and payment
Monitoring fee. Leo's monitoring costs the price per location per month shown on our website and at checkout (currently US$19). It covers the audit, monitoring and reporting described on our website. It is billed monthly in advance through Stripe, in US dollars, and renews automatically until you cancel. A location you add is billed from the day you add it, pro-rated for the rest of the billing month.
Credits. Execution work runs on prepaid credits. You buy credits in advance; each job's price in credits is shown before you approve it. Credits are shared across all locations on your account, are used only on work you have approved, and do not expire while your account is open.
Taxes. Prices do not include taxes. You are responsible for any sales, use, VAT, GST or similar taxes that apply.
Price changes. We will give you at least 30 days' notice before changing the monitoring fee or the credit price of a job. A change never affects work you have already approved.
Failed payments. If a payment fails, we may pause the Service until it is resolved.
6. Cancellation and refunds
You can cancel at any time from your account, with no contract and no notice period. When you cancel, the monitoring fee stops at the end of the month you have paid for and is not refunded for that month.
Unused credits can be refunded within 30 days of purchase: ask us at hello@localseoagent.ai and we will refund the credits from that purchase that have not been used, to the original payment method. After 30 days, credits are not refundable. Credits left when you cancel stay usable only while your account is open.
Nothing in these terms limits a refund you are entitled to by law.
7. Your responsibilities
You agree to:
- give Leo accurate information about your business, and tell him when it changes;
- connect only accounts you are entitled to manage;
- only upload photos, logos and other content you have the right to use, and grant us a licence to use them to provide the Service;
- only give us customer contact details you have the right to share, with any consent the law requires before customers are contacted (including the US TCPA, Canada's CASL, the UK PECR and similar laws), and tell us about any opt-outs you receive;
- follow the rules of the platforms Leo works on, including Google's policies for Business Profiles and reviews.
8. What we won't do, and what you must not do
We will never fake, filter, incentivise or buy reviews, and you must not ask Leo to. You must not use the Service to post false or misleading information, to impersonate anyone, to send spam, to break the law or a platform's rules, to harm or overload our systems, or to copy or resell the Service without our written permission.
We may suspend or close an account that breaks these rules, after telling you why where we reasonably can.
9. No guaranteed results
Search rankings, reviews and customer behaviour depend on Google, other platforms and many factors outside our control. We do not guarantee any ranking, number of reviews, traffic or revenue. Platforms such as Google may change their rules, reject or remove content, or suspend a profile; we are not responsible for their decisions, though Leo will tell you and help you respond.
10. Your content and data
You own your business information and content. You give us permission to use it to provide and improve the Service, as described in our Privacy Policy. We own the Service, including Leo, our software and our materials. Work Leo produces for you (posts, replies, reports) is yours to use once it is delivered. You can export your data at any time.
11. Third-party services
The Service connects to services we don't control, such as Google, social networks, Telegram, Stripe and your business tools. Their own terms apply to your use of them.
12. Disclaimers
Except as these terms expressly say, the Service is provided "as is" and "as available", and we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement, to the extent the law allows.
13. Limitation of liability
To the extent the law allows, neither party is liable to the other for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for any claim relating to the Service is limited to the amounts you paid us in the 12 months before the claim arose. These limits do not apply to liability that cannot be limited by law.
14. Indemnity
You will defend and indemnify us against claims from third parties arising from content or customer data you provide, or from your breach of these terms or of the law.
15. Ending the agreement
You can stop using the Service and cancel at any time. We can end the agreement on 30 days' notice, or immediately if you seriously breach these terms. If we end it without cause, we will refund your unused credits.
16. Changes to these terms
We may update these terms. If a change is significant, we will tell account holders at least 30 days before it takes effect. If you keep using the Service after that, the new terms apply.
17. Law and disputes
These terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. Any dispute will be brought in the state or federal courts located in Delaware, and both parties consent to their jurisdiction. If you are a consumer, you also keep any protections the law of your country gives you.
18. General
These terms, together with our Privacy Policy and the prices shown at checkout, are the whole agreement between us. If any part is unenforceable, the rest still applies. You may not transfer this agreement without our consent; we may transfer it as part of a merger or sale of our business. Not enforcing a right is not a waiver of it.
